Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you, the subscribing chartered accountant, tax practitioner or accounting firm (“you”, “your” or “Firm”), and Zync CA (“Zync CA”, “we”, “us” or “our”), governing your access to and use of the Zync CA platform, related websites, client portals, APIs and mobile applications (collectively, the “Service”). By creating an account, accessing or using the Service you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference.
1. Definitions
“End-Client” means any natural or legal person whose details you record in the Service or who is invited by you to upload documents through a client portal. “Firm Data” means all data, files and content that you or your End-Clients submit to the Service. “Subscription” means the paid plan (per seat, per month or per year) selected by your Firm. “Authorised User” means an individual to whom you have granted access to the Service under your Subscription.
2. The Service
Zync CA provides a software-as-a-service workflow platform for managing chartered accountancy engagements, including (without limitation): a kanban-style filings board for ITR, GST, TDS and ROC returns; client and client-group management; document collection through secure portal links; automated email and WhatsApp reminders; team collaboration with role-based access; and invoicing with online payment collection. The Service is a productivity tool and is not a substitute for professional judgement, statutory advice or e-filing utilities maintained by the Government of India.
3. Eligibility and account registration
You represent that you are at least eighteen (18) years of age and, if registering on behalf of an entity, that you have authority to bind that entity. You agree to provide accurate, current and complete registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly at security@zyncca.com of any suspected unauthorised access.
4. Subscriptions, fees and taxes
Subscription fees are quoted in Indian Rupees on a per-seat basis and are billed in advance for the term elected (monthly or annual). Fees are exclusive of GST and other applicable taxes, which will be added to your invoice at the prevailing statutory rate. Payments are processed by Razorpay; by submitting payment details you also accept Razorpay's applicable terms. Subscriptions renew automatically at the end of each term unless cancelled at least one (1) day before renewal. Except as expressly required by law, fees paid are non-refundable; partial-month or partial-year refunds are not provided. We may revise pricing on at least thirty (30) days' prior written notice; revised prices apply from the next renewal.
5. Acceptable use
You agree not to, and not to permit any Authorised User or End-Client to:
- use the Service in violation of any applicable law, including the Information Technology Act, 2000, the Income-tax Act, 1961, the CGST Act, 2017, the Companies Act, 2013, the Chartered Accountants Act, 1949, or the regulations and code of ethics of the Institute of Chartered Accountants of India;
- upload malware, unlawful, infringing, defamatory, obscene or otherwise objectionable content;
- send unsolicited commercial communications, spam, or content that violates the Telecom Commercial Communications Customer Preference Regulations, 2018 or Meta / WhatsApp Business Policy;
- attempt to gain unauthorised access to, interfere with, probe, scan or test the vulnerability of the Service or any associated infrastructure;
- reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by law;
- resell, sublicense, or commercially exploit the Service except as expressly permitted under your Subscription; or
- use the Service to develop a competing product or to benchmark its performance for publication without our prior written consent.
6. Firm Data and intellectual property
As between the parties, you and your End-Clients retain all right, title and interest in Firm Data. You grant Zync CA a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Firm Data solely to provide and improve the Service for you, to comply with law, and to enforce these Terms. Zync CA and its licensors retain all right, title and interest in and to the Service, including all software, documentation, trademarks, look-and-feel and any feedback or suggestions you provide.
7. Communications on your behalf
You authorise Zync CA to send transactional emails (via Resend) and WhatsApp messages (via Wati) to your End-Clients in your name and using templates you configure or approve. You are solely responsible for ensuring that you have a lawful basis (including recipient consent where required) to send such communications and for the accuracy of all content. You will indemnify Zync CA in respect of any claim arising from communications you instruct us to send.
8. Service levels and support
We use commercially reasonable efforts to keep the Service available 24×7, targeting an uptime of 99.5% measured on a calendar-monthly basis, excluding scheduled maintenance and force majeure events. Support is provided in English by email at support@zyncca.com on business days (Monday to Friday, 10:00–19:00 IST, excluding national holidays).
9. Suspension and termination
We may suspend or terminate your access to the Service immediately if (a) you materially breach these Terms and do not cure the breach within seven (7) days of notice; (b) payment is overdue by more than fourteen (14) days; (c) your use poses a security or legal risk; or (d) required by law or by a competent authority. You may cancel your Subscription at any time from the billing settings; cancellation takes effect at the end of the then-current billing cycle. On termination, you may export Firm Data within ninety (90) days, after which it will be irreversibly deleted as described in the Privacy Policy.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. Zync CA disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and any warranty arising out of course of dealing or usage of trade. Zync CA does not warrant that the Service will be uninterrupted, error-free or that all Firm Data will be preserved without loss. The Service is a tool and does not constitute legal, tax or financial advice.
11. Limitation of liability
To the maximum extent permitted by law, in no event shall Zync CA or its proprietor, employees, licensors or sub-processors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenues, goodwill, data, or business opportunity, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. The aggregate liability of Zync CA arising out of or relating to these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by you to Zync CA in the twelve (12) months immediately preceding the event giving rise to the claim.
12. Indemnity
You agree to defend, indemnify and hold harmless Zync CA from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to (a) Firm Data; (b) your or any Authorised User's breach of these Terms; or (c) your violation of applicable law or of any third-party right.
13. Data protection and confidentiality
Each party shall comply with applicable data-protection laws, including the Digital Personal Data Protection Act, 2023 of India (“DPDP Act”), the rules made thereunder, and the EU/UK General Data Protection Regulation, in each case to the extent applicable. Our processing of personal data is described in the Privacy Policy, which forms part of these Terms and includes our data-processing commitments. Each party shall keep the other's confidential information strictly confidential and use it only to perform its obligations under these Terms.
14. Modifications
We may modify these Terms from time to time. Material changes will be notified by email to Firm administrators at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to clause 16, the courts at Indore, Madhya Pradesh shall have exclusive jurisdiction.
16. Arbitration
Any dispute, controversy or claim arising out of or relating to these Terms, or the breach, termination or invalidity thereof, that cannot be amicably resolved within thirty (30) days of written notice shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Indore, India; the language of the arbitration shall be English; and the tribunal shall consist of a sole arbitrator mutually appointed by the parties.
17. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions shall remain in full force. Failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms to a successor in connection with a merger, acquisition or sale of substantially all of our assets.
